ANNUAL GENERAL MEETING – NOTICE OF MEETING

New Zealand Firefighters Credit Union AGM, and to approve our amended rules

BACKGROUND

The Friendly Societies and Credit Unions Act 1982 (FSCU Act) has been amended to require credit unions to apply for incorporation no later than 30 September 2019.  Once incorporated, New Zealand Firefighters Credit Union (Credit Union) will have the capacity, rights, powers and privileges of a “natural legal person”, similar to a company.  Further, it will no longer be required to have trustees, whose functions will be taken over by the Board of Directors of the Credit Union.

The amendments to the FSCU Act also allow the Credit Union to make changes to its operations, including the power to lend to companies, partnerships and trustee(s) of a trust related to a Member, and to sell products to such companies, partnerships and, trustees.

To enable the Credit Union to apply for incorporation, the Credit Union is seeking Member approval of its amended Rules.  If approved by Members, the amended Rules will come into effect on the date of incorporation, 1 January 2020.

Incorporation is not optional for credit unions.  If Members do not approve Resolutions (1) and (3) and/or the Credit Union does not apply for incorporation within the statutory timeframe, its existing credit union registration will be cancelled.

RESOLUTIONS

The business of the meeting is to consider, and if thought fit to pass, the following resolutions:

Special Resolutions

  1. Amended Rules

That the Members approve the amended Rules (with the exception of the Enterprise Provision Rules) in the
manner set out with this notice of meeting.

  1. Amended Rules – provision of lending, products and services to enterprises

That the Members approve the inclusion of the Enterprise Provision Rules in the amended Rules, in the manner set out with this notice of meeting.

Enterprise Provision Rules refers to Rules 71(b) and 73 and other consequential amendments to Rules 8(b), 8(c), 40(d), 72(b) and the definition of Enterprise in Rule 2 (which allows for the provision of lending, products and services to certain enterprises).

Ordinary Resolution

  1. Application for Incorporation

That the Members approve the submission of the application for the incorporation of New Zealand Firefighters Credit Union to the Registrar of Friendly Societies and Credit Unions.

The application for incorporation cannot be submitted without certain amendments to the Rules, therefore resolution (3) is dependent on the passing of resolution (1).

Resolutions (1) and (2) are special resolutions and will be passed, if voted in favour by 75% or more of those Members that are entitled to vote and who vote on the matter.  Resolution (3) is an ordinary resolution and will be passed, if voted in favour by 50% or more of those Members that are entitled to vote and who vote on the matter.

This year the New Zealand Firefighters Credit Union has four Director positions (of which two are also Trustees) being contestable.

If you know someone who would be keen to be part of the New Zealand Firefighters Credit Union Board, please talk to them about being nominated. Directors are elected for a two-year term and retiring directors may be re-elected. The retiring directors are Craig Gold, Margaret Fleming, Tui Gordon, and Stuart Cleland, all of whom have indicated their intention to stand for re-election. Tui Gordon and Stuart Cleland are also Trustees. Mark Virtue has also indicated his intention to stand for election.

In accordance with Rule 24, the New Zealand Firefighters Credit Union calls for nominations for four Director positions. Nominations from members, together with the candidate’s curriculum vitae detailing relevant skills and experience, a completed Fit and Proper Persons Declaration, Personal Information Statement and Suitability Notice for Director needs to be delivered in writing to the Secretary, P. O. Box 33097, Petone, Lower Hutt by 4pm on Friday 6 September 2019.

HOME LOANS

Great News! The Credit Union has now launched a Home Loans partnership with TSB (New Zealand owned bank), which provides our members with the option of getting a Home Loan through the new partnership.

Over the years we have been involved in providing a small number of Home Loans to members directly through the Credit Union. Now that the Credit Union has entered into an exclusive Home Loans arrangement with TSB, the Credit Union will be able offer discounted Home Loan interest rates, whilst providing the Credit Union with the ability to offer considerably more Home Loans to members.

 Why did the Credit Union choose to partner with TSB for home loans?

New Zealand Firefighters Credit Union prides itself on providing an exceptional member experience.

Therefore, our focus was on looking for a Home Loans partnership with a like-minded organisation whereby the ‘values between both organisations were clearly aligned with regards to being New Zealand, focusing on community, our people and our customers / members’.

TSB met this criteria, and an exclusive arrangement that provides our members with interest rate discounts off TSB’s advertised home loan interest rates has been established.

Take out a new home loan with TSB of greater than $100,000 and you will:

  • Receive 0.50% p.a. off the Floating interest rate
  • Receive up to 0.10% p.a. off the Special fixed interest rates (some exceptions may apply)
  • Receive a Cash Contribution up to $2,000 towards professional services (0.50% of new lending capped at $2,000)
  • Have no application fee

For example, if a member had a $400,000 home loan on a floating interest rate, they could save up to $2,000 p.a. in interest payments.

To qualify for the home loan interest rate discounts, you must be a member of the New Zealand Firefighters Credit Union, and the home loan application needs to be processed through the Credit Union.
